If you aren't happy switch. Everything is second to happiness in my opinion. Just make sure that it is the job not you. Sometimes you must realize the situation isn't perfect but what you can control is your happiness.

If you need reasons to stay, leave. It sounds like the autonomy thing won't be too much of a change. Take the money out of it, which role would you be excited to talk about?

I say it depends on your personality as well. Are you a risk taker? Or would you be more comfortable staying in a stable role with stable, albeit lower salary? It can also change with different stages in your life although some people will be risk takers and want that extra excitement/challenge most of the time.

Seems from your post you would be the latter, i think?

Thanks everyone.... I appreciate your opinions. Although change does frighten me, I NEED to be challenged, and I find Engineering much more interesting then managing a bunch of flight instructors. I speak with them again next week, but am taking the next steps.

Not having autonomy is a bummer, but if you will really enjoy your new work, I am sure you will not mind. Plus, if the money is much better, that means more watches.

With only 2 years at your current company and in a position that is not fulfilling, you know in your heart it's time for a change.
You know the owner of the future company and he has adjusted his offer to make it more attractive to you. Given you know the owner and he is adjusting the offer to address some of your concerns, I feel like the change may not be as dramatic as you perceive. Extra money and growth potential never hurt either.

Sounds like you are on your way, but my advice can still help. It's not just about you. Others have asked you to think about your significant other and about your friend, but you can cast that net wider as well. Which (or does either) offer important work, e.g., to your country or to mankind in general?

A good rubric I've learned from my current company: Is it important? Is it hard? Is it something only I can do?

I relate to finding change to be hard, but 6 months or a year into the new job you'll suddenly realize that you've adjusted and gotten your feet under you.

At your age, I would take the new job and start really socking away money for retirement. With much more money, you can take an early retirement if you desire, or buy a nicer house near the beach.

In short, plan for retirement. Take the course that will put you in the best position.
