Depends on what other watches you own.

If you have multiple Rolexes and nothing else, then go for the Panerai for a nice change. If the other way around, go for the Rolex.

Personally, I'd go for the Exp II because I think it looks better (but I'm shallow that way).

Good luck deciding, they are both fine watches!

Or if you need the GMT function, get the 320 (or 233 if your budget will stretch to it)

Both are great watches! I prefer the 111 over the 312, cause of the case and clean dial.
Between these two, i would pick the Ex2, the ultimate rugged everyday watch!
